WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICES OR ANY CONTENT IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL utrapucify LTD., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, SALES, GOODWILL, USE OF CONTENT, IMPACT ON BUSINESS, BUSINESS INTERRUPTION, LOSS OF ANTICIPATED SAVINGS, LOSS OF BUSINESS OPPORTUNITY) HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, BREACH OF STATUTORY DUTY, NEGLIGENCE, OR OTHERWISE, EVEN IF THE LIABLE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR COULD HAVE FORESEEN SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF utrapucify LTD. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS RELATING TO THE SERVICES WILL BE LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU PAID TO utrapucify LTD. FOR THE SERVICES IN THE PRIOR TWELVE (12) MONTHS; OR (B) £100.00.

THE LIMITATIONS AND EXCLUSIONS ALSO APPLY IF THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS OF ITS ESSENTIAL PURPOSE.

10. Indemnification

You agree to indemnify, defend, and hold harmless utrapucify Ltd., its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees, arising from or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your violation of any rights of another
  • Your use of the Services

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

11. Termination

We may terminate or suspend your access to and use of the Services, including any accounts, at our sole discretion, without notice, for any reason, including but not limited to your breach of these Terms.

Upon termination, your right to access and use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes to the Terms, we will provide notice through the Services, via email, or by other means to provide you with the opportunity to review the changes before they become effective. If you continue to use the Services after the revised Terms have become effective, you will be deemed to have accepted the revised Terms.

13. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to the Services shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in England and Wales, and you hereby consent to the personal jurisdiction and venue therein.

14. Dispute Resolution

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof, you and utrapucify Ltd. shall use best efforts to settle the dispute, claim, question, or disagreement. To this effect, you and utrapucify Ltd. shall consult and negotiate with each other in good faith and, recognizing mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.

If you and utrapucify Ltd. do not reach such a solution within a period of 60 days, then either you or utrapucify Ltd. may commence legal proceedings in accordance with the "Governing Law and Jurisdiction" section above.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.

16. Waiver

The failure of utrapucify Ltd. to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by utrapucify Ltd. on the Services, constitute the entire agreement between you and utrapucify Ltd. concerning the Services.
